Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BosQa ("Company," "we," "our," or "us") governing your access to and use of the BosQa platform, website, and mobile applications (collectively, the "Service").

By registering for an account, clicking "I agree," or otherwise using the Service, you represent that you are at least 16 years old, have the legal capacity to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

BosQa is a productivity platform for creative professionals that provides:

• AI-generated pre-production creative briefs for photography and video shoots
• AI-generated post-production reports including captions, edit structures, and client handoff materials
• Brand voice profile creation and management
• PDF export of client-ready reports
• Project and deliverable management

The Service is offered on a subscription basis. We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice.

You must create an account to use BosQa. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and not share them with others
• Notify us immediately at legal@bosqa.app if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account
• Maintain only one account per person (unless you have a multi-seat plan)

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use policy.

Plans. BosQa offers monthly subscription plans (Solo, Studio, Agency) as described on our pricing page. Plan features and pricing are subject to change with 30 days' advance notice to existing subscribers.

Billing. Subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

Cancellation. You may cancel your subscription at any time via Settings → Subscription → Manage billing. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial months.

Failed payments. If a payment fails, we will retry the charge and notify you by email. If payment remains outstanding after 7 days, your account may be suspended until the balance is resolved.

Price changes. We will notify you at least 30 days before any price increase. Your continued use of the Service after the effective date constitutes acceptance of the new price.

Taxes. Prices are exclusive of applicable taxes. You are responsible for any sales, VAT, GST, or other taxes applicable to your subscription.

New subscribers receive a 7-day free trial. No payment is charged during the trial period. At the end of the trial, your chosen subscription plan will begin and your payment method will be charged unless you cancel before the trial ends.

We reserve the right to limit free trial eligibility to one trial per person or household. Abuse of the free trial (including creating multiple accounts to extend the trial period) may result in account termination.

Your content. You retain full ownership of all content you upload or enter into BosQa, including brand information, project details, shoot notes, and uploaded files (such as your studio logo).

License to us. You grant BosQa a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing the Service to you. We do not use your content for any other purpose.

AI-generated outputs. All AI-generated content produced by BosQa using your inputs — including briefs, reports, captions, brand profiles, and edit structures — belongs to you. BosQa claims no copyright, ownership, or license over your AI-generated outputs.

Content responsibility. You are solely responsible for ensuring that the content you input and the outputs you use comply with all applicable laws, third-party rights, and platform policies (including social media terms of service).

Data deletion. Upon account deletion, your content will be removed from our systems within 30 days, subject to our data retention obligations described in the Privacy Policy.

Our IP. BosQa, including its name, logo, software, user interface, and proprietary prompts and systems, is owned by us and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted herein.

Feedback. If you provide us with suggestions, feedback, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use that feedback without restriction or compensation to you.

You agree not to use BosQa to:

• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of any third party
• Upload or transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or systematically extract data from the Service without our written consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Create multiple accounts to circumvent plan limits or free trial restrictions
• Resell or sublicense access to the Service without our written consent
• Use the Service to generate content that is illegal, defamatory, harassing, or harmful
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service

Violation of this section may result in immediate account termination without refund.

Nature of AI outputs. BosQa uses large language model AI to generate creative content. AI-generated outputs are produced automatically and may contain errors, inaccuracies, or content that requires editing. All outputs should be reviewed by a qualified human before use.

No guarantee of accuracy. We do not warrant that AI-generated briefs, captions, reports, or other content will be accurate, appropriate, original, non-infringing, or suitable for any particular purpose.

Your responsibility. You are solely responsible for reviewing, editing, and approving all AI-generated content before delivering it to clients or publishing it. BosQa is a creative assistance tool — it does not replace professional judgment.

Third-party AI. Content generation is powered by Anthropic's Claude. BosQa does not control Anthropic's AI model and is not responsible for model behavior, availability, or changes.

By you. You may cancel your account at any time via the Settings page. Cancellation ends your subscription at the close of the current billing period.

By us. We may suspend or terminate your account immediately, without notice or refund, if you:

• Violate these Terms or our Acceptable Use policy
• Engage in fraudulent activity
• Fail to pay subscription fees
• Pose a legal risk to BosQa or other users

Effect of termination. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 6 (Content), 7 (IP), 9 (AI Disclaimer), 11 (Liability), 12 (Warranties), 13 (Indemnity), and 15 (Governing Law) survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOSQA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO BOSQA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow certain liability exclusions. In those jurisdictions, our liability is limited to the minimum extent permitted by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

We do not warrant that the Service will meet your requirements, be available at all times, be secure or error-free, or that AI-generated outputs will be accurate or suitable for your needs.

You agree to indemnify, defend, and hold harmless BosQa and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you upload, submit, or generate using the Service.

If you download or use BosQa through Apple's App Store or Google Play Store, the following additional terms apply:

Apple App Store. These Terms are between you and BosQa only, not with Apple. Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support for the Service. In the event of a product claim, Apple is not responsible. Apple is a third-party beneficiary of these Terms for App Store distribution.

Google Play Store. These Terms are between you and BosQa only, not with Google. Google has no warranty, maintenance, or support obligations for the Service.

In-app purchases. Subscription payments processed through the App Store or Play Store are subject to those platforms' payment terms in addition to ours.

Governing law. These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.

Informal resolution. Before filing a formal dispute, you agree to contact us at legal@bosqa.app and attempt to resolve the issue informally for at least 30 days.

Binding arbitration. If informal resolution fails, any dispute will be resolved by binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules, conducted in Michigan. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.

EU / UK users. If you are based in the EU or UK, you may also have the right to bring claims before your local courts under applicable consumer protection laws. Nothing in these Terms limits statutory rights you have under EU or UK law.

We may update these Terms from time to time. We will notify you of material changes by email and by updating the effective date above. If you continue to use the Service after changes take effect, you accept the revised Terms.

If we make changes that materially reduce your rights, we will provide at least 30 days' notice before the changes take effect. You may cancel your subscription before the effective date if you do not agree.

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and BosQa regarding the Service.
• Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions continue in full force.
• No waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
• Force majeure: We are not liable for failures caused by events beyond our reasonable control, including internet outages, natural disasters, or third-party service failures.
• Language: These Terms are in English. Translations are for convenience only — the English version controls in case of conflict.
